Terms of Service

1. Scope and Acceptance

These Terms of Service ("Terms") govern the contractual relationship between SyntonyCRM ("we", "us", "Company") and any individual or entity ("you", "Customer") who registers for or uses the SyntonyCRM software platform and related services ("Service"). By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Service

SyntonyCRM provides cloud-based customer relationship management software delivered as a software-as-a-service (SaaS). The Service includes contact management, sales pipeline tracking, task management, reporting, email integration, and workflow automation tools. The specific features available to you depend on your subscription plan.

3. Account Registration

To use the Service, you must register for an account using a valid business email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at info@syntonycrm.com if you become aware of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

4. Subscription Plans and Fees

SyntonyCRM offers both a free Starter plan and paid subscription plans. Paid plans are billed monthly or annually as selected during checkout. Prices are listed on our website and are subject to change with at least 30 days' written notice. All fees are exclusive of applicable taxes, which will be added where required by law.

Invoices for paid plans are issued at the start of each billing period and are due immediately upon issue. In the event of non-payment, we reserve the right to suspend access to the Service after providing 7 days' written notice.

5. Free Trial

New users may access the Professional plan features free of charge for 14 days. No credit card is required to start a trial. At the end of the trial period, your account will automatically revert to the Starter (free) plan unless you choose to upgrade. Trial accounts are subject to the same data handling and security standards as paid accounts.

6. Acceptable Use

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws and regulations. You must not:

  • Use the Service to send unsolicited commercial communications (spam) in violation of applicable law
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Upload or transmit any content that is unlawful, defamatory, or infringes third-party rights
  • Use the Service to store or process sensitive personal data categories (as defined under GDPR) without our prior written consent
  • Resell or sublicense access to the Service without our written permission

7. Data Ownership and Privacy

You retain all ownership rights to the data you upload or create within the Service ("Customer Data"). We do not claim any intellectual property rights over your Customer Data. We process Customer Data solely on your behalf and in accordance with our Privacy Policy and any applicable Data Processing Agreement.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Intellectual Property

All rights, title, and interest in the Service — including software, design, documentation, and trademarks — remain exclusively with SyntonyCRM. These Terms do not grant you any rights to use our trademarks, trade names, or logos without prior written consent. You grant us a limited, non-exclusive license to host and process your Customer Data solely to provide the Service.

10. Service Availability

We aim to maintain Service availability of at least 99.5% per calendar month, excluding scheduled maintenance windows. We will provide at least 48 hours' advance notice of planned maintenance that may affect availability. We do not guarantee uninterrupted or error-free operation of the Service.

11. Cancellation and Termination

You may cancel your subscription at any time via your account settings or by emailing info@syntonycrm.com. Cancellation takes effect at the end of the current billing period. We do not issue refunds for partial billing periods except where required by applicable law.

We may suspend or terminate your account with immediate effect if you materially breach these Terms or if continued operation would expose us or others to legal risk. In such cases, we will notify you promptly and, where possible, provide an opportunity to remedy the breach.

Upon termination, you have 30 days to export your Customer Data in CSV format from the Settings page. After this period, your data will be permanently deleted in accordance with our data retention schedule.

12. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising under or in connection with these Terms or the Service is limited to the amounts paid by you to us in the 12 months preceding the claim. In no event shall either party be liable for any indirect, incidental, special, or consequential damages, even if advised of the possibility of such damages.

13. Warranties and Disclaimers

The Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be free of bugs or that it will meet your specific business requirements.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in San Antonio, Texas, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' written notice of material changes by email. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you may cancel your subscription before the effective date.
